Terms of Service - Send to Case

1. Acceptance of Terms

By installing the Send to Case extension or using our website, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

2. Description of Service

Send to Case is a Chrome browser extension that helps legal professionals upload files to Clio (a legal practice management platform). The Service:

Connects to your Clio account using OAuth authentication
Allows you to select files and upload them to Clio matters
Uploads files directly from your browser to Clio's servers

3. License Grant

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Send to Case extension for your personal or internal business purposes, subject to these Terms.

You may not:

Modify, reverse engineer, or decompile the extension
Use the extension for any unlawful purpose
Resell or redistribute the extension
Remove or alter any proprietary notices

4. User Responsibilities

You are responsible for:

Clio Account - Maintaining a valid Clio account with appropriate permissions
File Rights - Ensuring you have the right to upload any files you select
Accuracy - Verifying the accuracy and completeness of documents you upload
Confidentiality - Protecting client confidentiality and complying with professional obligations
Backups - Maintaining appropriate backups of your files
Compliance - Complying with all applicable laws, regulations, and professional rules

5. Third-Party Services

The Service integrates with third-party services, including:

Clio - Your use of Clio is governed by Clio's terms of service and privacy policy
Chrome - Your use of Chrome is governed by Google's terms of service

We are not responsible for the availability, accuracy, or policies of these third-party services.

6. Intellectual Property

The Service and its original content, features, and functionality are owned by Send to Case and are protected by copyright, trademark, and other intellectual property laws. "Clio" is a trademark of Themis Solutions Inc. and is used here for identification purposes only.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.

TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

WARRANTIES OF MERCHANTABILITY
FITNESS FOR A PARTICULAR PURPOSE
NON-INFRINGEMENT
ACCURACY, RELIABILITY, OR COMPLETENESS
UNINTERRUPTED OR ERROR-FREE OPERATION

WE DO NOT WARRANT THAT THE SERVICE WILL BE SECURE, AVAILABLE AT ALL TIMES, OR FREE FROM ERRORS, VIRUSES, OR OTHER HARMFUL COMPONENTS.

8. Limitation of Liability

PLEASE READ THIS SECTION CAREFULLY AS IT LIMITS OUR LIABILITY TO YOU.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SEND TO CASE, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY:

INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
LOSS OF DATA, DOCUMENTS, OR FILES
LOSS OF PROFITS, REVENUE, OR BUSINESS OPPORTUNITIES
BUSINESS INTERRUPTION
DAMAGE TO REPUTATION OR GOODWILL
COST OF SUBSTITUTE SERVICES

ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, REGARDLESS OF WHETHER SUCH DAMAGES ARE BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

THE EXTENSION IS PROVIDED FOR CONVENIENCE ONLY. YOU ARE SOLELY RESPONSIBLE FOR ENSURING THE ACCURACY AND COMPLETENESS OF ANY DOCUMENTS UPLOADED TO CLIO AND FOR MAINTAINING APPROPRIATE BACKUPS OF YOUR FILES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED FIFTY DOLLARS ($50.00).

9. Indemnification

You agree to defend, indemnify, and hold harmless Send to Case and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

Your use of the Service
Your violation of these Terms
Your violation of any third-party rights, including intellectual property rights
Any content you upload through the Service

10. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

You may terminate your use of the Service at any time by uninstalling the extension and disconnecting your Clio account.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

12. Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service shall be resolved through good faith negotiations. If negotiations are unsuccessful, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

YOU AGREE THAT ANY ARBITRATION OR PROCEEDING SHALL BE LIMITED TO THE DISPUTE BETWEEN YOU AND US INDIVIDUALLY. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION OR CLASS-WIDE ARBITRATION.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Send to Case regarding the Service and supersede all prior agreements, understandings, and communications.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the updated Terms.
